Terms of Service

These Terms of Service ("Terms") are a legal agreement between you, or the business you represent, and AdaptLeads, operated by Reeve Solutions Ltd ("we", "us", "our"). By creating an account or using the service you agree to these Terms.

1. Agreement and acceptance

By registering for, accessing or using AdaptLeads you accept these Terms and our Privacy Policy and Acceptable Use Policy, which form part of this agreement. If you are agreeing on behalf of a business, you confirm you have authority to bind that business. If you do not agree, do not use the service.

2. Definitions

• Service — the AdaptLeads platform, website and application at app.adaptleads.co.uk.
• Data — the business records and contact information made available through the Service.
• Account — your registered access to the Service.
• Plan — the subscription tier you select, which sets your monthly export allowance.
• Export — taking a record out of the Service, for example by CSV download or to a saved list.

3. The service

AdaptLeads provides a searchable database of UK businesses. Searching, filtering and viewing records is unlimited on every plan. Your plan sets how many verified contacts you may export each month. We may improve, change or add to the Service over time, and coverage continues to grow.

4. Accounts and eligibility

You must be at least 18 and use the Service for business purposes. You agree to provide accurate registration details, keep your login credentials secure, and not share them. You are responsible for all activity under your Account. Tell us promptly at hello@adaptleads.co.uk if you suspect any unauthorised use.

5. Plans, billing and cancellation

• Paid plans are billed monthly in advance through Stripe, our payment provider.
• Every plan includes unlimited search and filtering; your plan sets a fixed monthly export allowance.
• You can start free with a limited monthly export allowance and no card.
• You can cancel at any time from your Account. Cancellation takes effect at the end of your current billing period, and your plan will not renew.
• Except where required by law, fees already paid are non-refundable, including for partial months.
• We may change plan pricing or features with reasonable notice; changes do not affect the period you have already paid for.

6. Acceptable use

Your use of the Service and the Data must comply with our Acceptable Use Policy, which forms part of these Terms. In short, the Data is for lawful business-to-business outreach only.

7. Data licence and permitted use

Subject to these Terms and your Plan, we grant you a limited, non-exclusive, non-transferable licence to use the Data you export for your own lawful business-to-business marketing and outreach. When you use the Data you must:

• comply with UK GDPR and PECR, and any other applicable law;
• market only to businesses, and only about relevant products or services;
• identify yourself and provide a clear opt-out in every message;
• honour opt-outs promptly and keep your own suppression records.

You must not resell, sub-licence, redistribute or publish the Data, in whole or in part, unless you have a reseller or Custom agreement with us. You remain responsible, as sender and where applicable as controller, for your own outreach.

8. Intellectual property

The Service, its software, design, the AdaptLeads brand, and the compilation and arrangement of the Data are owned by us or our licensors and are protected by law. Nothing in these Terms transfers ownership to you beyond the limited licence described above.

9. Data accuracy and availability

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation, and we may carry out maintenance from time to time.

10. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. Subject to that, we are not liable for indirect or consequential loss, loss of profit, revenue, goodwill or data, and our total liability arising out of or in connection with the Service is limited to the fees you paid to us in the twelve months before the event giving rise to the claim. You are responsible for using the Data lawfully, and we are not liable for your outreach or for your compliance with UK GDPR and PECR.

11. Suspension and termination

We may suspend or terminate your access if you breach these Terms or the Acceptable Use Policy, if required by law, or to protect the Service or other users. You may stop using the Service and cancel at any time. On termination your licence to use the Data ends, and you must stop using and, where we ask, delete Data you exported, except records you are required to retain for compliance (for example suppression records).

12. Governing law

These Terms and any dispute arising out of them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
